1. Agreement to Terms

These Terms and Conditions (the “Agreement”) constitute a legally binding agreement between you (the “Renter”) and Kastle Rentals (“Kastle Rentals,” “we,” “us,” or “our”) governing the rental of film, video, audio, lighting, grip, and related production equipment (collectively, the “Equipment”). By requesting a quote, placing an order, accepting delivery, or otherwise taking possession of any Equipment, the Renter acknowledges and agrees to be bound by this Agreement in full. This Agreement supersedes any prior discussions, representations, or agreements unless expressly agreed to in writing by Kastle Rentals.

2. Eligibility and Verification

The Renter must be at least eighteen (18) years of age and legally capable of entering into binding contracts under the laws of the Province of Ontario. Kastle Rentals reserves the right, at its sole discretion, to require verification of identity, creditworthiness, business credentials, and/or production details prior to approving any rental. Such verification may include government-issued identification, proof of address, valid credit card authorization, and/or references. Kastle Rentals reserves the right to refuse service to any individual or entity for any lawful reason.

3. Rental Requests and Confirmation

All rental requests submitted through Kastle Rentals’ website, email, or other communication channels are non-binding until formally confirmed by Kastle Rentals. Availability of Equipment is not guaranteed until confirmation is issued in writing. Kastle Rentals reserves the right to modify or substitute Equipment of equal or greater value where necessary due to availability constraints. A confirmed rental may require execution of additional documentation, including but not limited to rental orders, insurance certificates, and payment authorization forms.

4. Rental Period

The rental period shall commence on the agreed-upon delivery or pickup date and time and shall terminate upon the scheduled return date and time (the “Rental Period”). Rental periods are calculated on a calendar-day basis unless otherwise specified in writing. Weekly rates apply based on a seven (7) day period, with return permitted on the morning of the eighth (8th) day unless otherwise agreed. The Renter remains fully responsible for the Equipment for the entire Rental Period, including any time prior to return confirmation by Kastle Rentals.

5. Rates, Charges, and Payment Terms

Rental rates are quoted in Canadian Dollars (CAD) and are subject to applicable taxes, including Harmonized Sales Tax (HST). Charges are based on daily and/or weekly rates, with longer rental durations benefiting from reduced pricing structures where applicable. Additional charges may apply for delivery, pickup, late returns, cleaning, repair, replacement, administrative processing, or other services. Full payment or an authorized deposit may be required prior to release of Equipment. Kastle Rentals reserves the right to charge the Renter’s payment method on file for any outstanding balances, including incidental or damage-related charges.

6. Security Deposits and Credit Authorization

Kastle Rentals may require a security deposit or pre-authorization hold on a valid credit card as a condition of rental. The amount of such deposit shall be determined based on the value and nature of the Equipment rented. The Renter authorizes Kastle Rentals to charge the provided payment method for any loss, damage, late fees, or other amounts due under this Agreement. Security deposits may be retained, in whole or in part, until all Equipment has been returned, inspected, and deemed satisfactory by Kastle Rentals.

7. Delivery, Pickup, and Risk of Loss

Kastle Rentals may offer delivery and pickup services within Toronto and the Greater Toronto Area (“GTA”), subject to availability and additional fees. Risk of loss or damage to the Equipment transfers to the Renter upon delivery to the specified location or upon pickup by the Renter or their authorized representative. The Renter assumes full responsibility for the Equipment during transit, use, and storage until it has been returned and accepted by Kastle Rentals. Any discrepancies, damage, or missing items must be reported immediately upon receipt.

8. Use of Equipment

The Renter agrees to use the Equipment in a safe, lawful, and professional manner consistent with industry standards and manufacturer specifications. The Equipment shall not be used for any illegal purpose, subleased, assigned, or otherwise transferred to any third party without prior written consent from Kastle Rentals. The Renter shall ensure that only qualified personnel operate the Equipment and shall take all necessary precautions to prevent damage, theft, or misuse.

9. Condition and Inspection

All Equipment is deemed to be in good working condition upon delivery or pickup unless otherwise noted. The Renter is responsible for inspecting the Equipment immediately upon receipt and must notify Kastle Rentals of any defects, damage, or missing components within a reasonable timeframe. Failure to report such issues constitutes acceptance of the Equipment in its delivered condition. Upon return, the Equipment will be inspected by Kastle Rentals, and any damage, excessive wear, or missing items may result in additional charges.

10. Maintenance, Repairs, and Alterations

The Renter shall not perform or attempt any repairs, modifications, or alterations to the Equipment without prior written consent from Kastle Rentals. In the event of malfunction or damage, the Renter must immediately cease use and notify Kastle Rentals. Unauthorized repairs or modifications may result in additional charges and void any applicable warranties or protections. Kastle Rentals reserves the exclusive right to determine the appropriate course of action regarding repair or replacement of Equipment.

11. Loss, Theft, and Total Replacement Responsibility

The Renter is fully responsible for any loss, theft, or irreparable damage to the Equipment during the Rental Period. In such cases, the Renter agrees to reimburse Kastle Rentals for the full replacement cost of the Equipment at current market value, including any applicable taxes, shipping, and procurement fees. Partial loss or missing components will be charged accordingly based on replacement or repair costs as determined by Kastle Rentals.

12. Damage, Wear, and Repair Costs

Normal wear consistent with professional use is expected; however, any damage beyond reasonable wear and tear shall be the financial responsibility of the Renter. Kastle Rentals reserves the sole right to determine whether Equipment damage qualifies as normal wear or chargeable damage. Repair costs will include parts, labour, diagnostic fees, and any associated downtime or loss of rental revenue if applicable.

13. Late Returns

Equipment must be returned by the agreed return date and time. Late returns may result in additional charges, typically calculated at the standard daily rental rate or a premium penalty rate depending on availability impact. Kastle Rentals reserves the right to charge for additional rental days without prior notice if Equipment is not returned on time.

14. Cancellation Policy

Cancellations must be submitted in writing. Cancellations made within a reasonable timeframe prior to the Rental Period may be eligible for partial or full refund at the discretion of Kastle Rentals. Last-minute cancellations or reserved specialty Equipment may be subject to cancellation fees, including up to 100% of the rental cost if the Equipment cannot be rebooked.

15. Substitution of Equipment

Kastle Rentals reserves the right to substitute Equipment with items of equal or greater value and comparable functionality when necessary due to availability, maintenance, or unforeseen circumstances. Reasonable efforts will be made to notify the Renter in advance; however, substitutions may be made without prior notice where operationally required.

16. Insurance Requirements

Insurance covering the full replacement value of rented Equipment is strongly recommended and may be required at Kastle Rentals’ discretion. The Renter is responsible for ensuring adequate coverage against theft, loss, and accidental damage. If insurance is not provided, Kastle Rentals may require a security deposit or credit authorization in lieu of coverage.

17. Indemnification

The Renter agrees to indemnify, defend, and hold harmless Kastle Rentals, its owners, employees, contractors, and affiliates from any and all claims, damages, liabilities, losses, or expenses (including legal fees) arising out of the use, possession, or transportation of the Equipment. This includes but is not limited to personal injury, property damage, or third-party claims.

18. Limitation of Liability

Kastle Rentals shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the Equipment. Under no circumstances shall Kastle Rentals’ total liability exceed the amount paid by the Renter for the specific rental transaction giving rise to the claim.

19. Force Majeure

Kastle Rentals shall not be held liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, weather events, strikes, supply chain disruptions, power failures, government restrictions, or other unforeseen events.

20. Ownership of Equipment

All Equipment remains the sole and exclusive property of Kastle Rentals at all times. Nothing in this Agreement transfers ownership rights to the Renter. The Renter shall not attempt to sell, lease, pledge, or otherwise encumber any Equipment under any circumstances.

21. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
